A Clear Basis
Before Work Begins.

These terms govern the website, member area, forum, Bridge Desk and Venture Lab wherever they are accessed. A project page or a recorded percentage is not, by itself, a contract, an investment offer or permission to collect money.

PRE-COMMERCIAL NOTICE

PACTUM is founded and directed by Kamal EL FARRICHA and is currently developed and operated under ScalniQ for the implementation phase only. This temporary arrangement does not designate ScalniQ as PACTUM’s permanent contracting, invoicing, fundraising or payment entity. The responsible legal entity, registration details, registered office and governing law must be identified in writing before paid services or commissions begin. Until the relevant legal and payment route is approved, financial actions remain disabled.

1. What PACTUM is

PACTUM is an intermediary and project-coordination network. It can review a business need, identify relevant companies or specialists, organise introductions, support an assignment and present selected concepts. Unless a separate written agreement says otherwise, PACTUM is not the agent, employee, partner, fiduciary or legal representative of a member or project owner.

2. What the website does not do

The website is not currently a bank, payment institution, investment firm, broker-dealer, crowdfunding platform, escrow service or charity. “Show Interest” and similar actions are non-binding expressions of interest. No visitor is entitled to invest, donate, receive securities or obtain project rights through the website alone.

3. International scope and local availability

PACTUM is intended for an international network, but a service may be unavailable or limited in a particular country. You must give accurate information about your residence, organisation, project location and intended transaction. PACTUM may restrict access, keep an opportunity at non-binding interest stage or require a licensed local partner where law, sanctions, payment rules or risk require it. Using the website from a country does not mean PACTUM is licensed there.

4. Accounts and access

You must be at least 18 and legally able to enter the relevant agreement, and you must be authorised to act for any organisation you name. Account information must be accurate and kept current. PACTUM may approve, refuse, limit or suspend member access to protect the network, comply with law or address misuse. Registration does not guarantee approval, introductions, funding or publication.

5. Member conduct

You must not publish unlawful, misleading, discriminatory, abusive or infringing material; impersonate another person; scrape the directory; send unsolicited bulk messages; circumvent access controls; evade geographic or regulatory restrictions; or use member data outside the legitimate business purpose for which it was shared. Forum views belong to their authors, not necessarily PACTUM.

6. Information and confidentiality

Do not submit trade secrets or highly confidential material through a general form. Submission does not create confidentiality by itself. If confidential review is required, the parties must sign a separate non-disclosure agreement before detailed disclosure. PACTUM may use submitted information only to operate the account, evaluate the proposal, communicate with the submitter and identify a suitable route or counterpart.

7. Ownership of ideas and materials

You retain ownership of material you submit and confirm that you have the right to submit it in every country where it may be reviewed. No intellectual-property ownership transfers through registration, a forum post, Bridge Desk review or publication. Any licence, assignment, option, co-ownership, equity position, revenue share or right of first negotiation must be described in a separate signed agreement that addresses territory and governing law.

8. Introductions, assignments and commissions

PACTUM earns no commission merely because a profile or proposal is created. Before a remunerated B2B introduction or assignment starts, the relevant parties must sign a mandate or engagement letter identifying the opportunity, PACTUM’s work, the protected counterparties, the fee or percentage, the event that triggers payment, the payment date, currency, taxes, expenses, exclusions, term, termination and any post-termination period. A dashboard field records a proposed basis only; it is not the signed mandate.

Compensation linked to securities, investment products or regulated fundraising is not treated as an ordinary B2B success fee. PACTUM will not receive or pay transaction-based compensation for that activity unless the relevant countries permit it and the work is conducted through the required licensed or registered parties.

9. Investment and fundraising

Project descriptions are for preliminary review and information. They are not investment advice, a recommendation, a prospectus, a public solicitation or a guarantee of return. Any transaction involving shares, debt, profit rights or another financial interest requires identity checks, project due diligence, risk disclosures and transaction documents appropriate to every country involved. A regulated offer must be conducted through the authorised or registered intermediary required in that market.

10. Donations and public-benefit projects

PACTUM does not currently receive or hold donations. A public-benefit project must use a legally eligible beneficiary and an approved payment or crowdfunding route for the countries concerned, with project-specific records and a clear refund or failure policy. A payment is not tax-deductible unless an eligible recipient issues a valid receipt under the donor’s applicable law.

11. Payments

A payment link may be published only after PACTUM verifies the project owner, beneficiary, applicable countries, legal route and payment provider. Funds must go to the contracting party, licensed platform, safeguarded or special project account, or eligible beneficiary identified in the transaction documents. PACTUM must not hold client money or pool investor or donor funds unless it has the legal authority and operational controls to do so in every relevant country.

12. Compliance and due diligence

Members and project owners are responsible for accurate information. Each party must perform its own commercial, legal, technical, financial and tax review before acting. Identity, beneficial ownership, source of funds, sanctions, anti-money-laundering, anti-bribery, export-control and tax checks may be required. PACTUM may check information but does not guarantee a member, counterparty, project, forecast, valuation, funding target or result.

13. Privacy, international data and notifications

The Privacy Notice explains how information is handled. Information may be processed across borders only with the notices, contracts and safeguards required for the people concerned. In-app notifications form part of the member service and report access decisions, project reviews and network activity. They are not a substitute for a signed notice required by a separate contract or by law.

14. Availability and liability

The service is provided on a reasonable-efforts basis and may change, be restricted by territory or be unavailable. Nothing excludes liability that cannot lawfully be excluded. Subject to that rule, PACTUM is not responsible for indirect loss, lost profit, a third party’s conduct or a decision made without the required independent review. Any commercial liability cap must be set in the relevant signed engagement, not inferred from this page.

15. Governing law and disputes

Mandatory local laws and non-waivable rights always apply. The operating entity’s governing law, competent courts or agreed arbitration mechanism will be published when that entity is established. Every commercial, investment, public-benefit or intellectual-property agreement must also identify its own applicable law and dispute process. Until those details are published, do not rely on these terms as a substitute for a transaction-specific contract.

16. Changes and contact

The current version is shown at the top of this page. Material changes require a new acceptance for future member or Bridge Desk activity. For a legal or account question, use the conversation form and identify the relevant account, country and project.
